The commercial terms behind our quotations, sample orders and mass production. Written for business buyers; any mandatory consumer protection law still applies where it is relevant.
How to read this. A signed contract or a proforma invoice (PI) that we both accept overrides these terms wherever the two differ. If nothing else is agreed, this page is the agreement. Anything unusual — a custom logo, a new mould, a certification you need — is written into the PI, not assumed.
“We”, “us”, “Seller” means Shenzhen Ruixi Intelligent Technology Co., Ltd., trading as AtBingo, Longhua District, Shenzhen, Guangdong, China. “You”, “Buyer” means the company or business placing the order.
These terms apply to every quotation, sample order, proforma invoice and shipment we issue, unless we have signed a separate agreement with you. If your purchase order contains different terms, our PI and these terms prevail unless we accept your terms in writing and signed.
We sell wholesale to businesses, installers and brand owners. Where you buy as a consumer and mandatory consumer law in your country gives you stronger rights than this page, those rights apply and nothing here takes them away.
Quotations are valid for 30 days from the date of issue, unless the quotation states otherwise. Prices include our standard export packing but exclude freight, insurance, import duties, VAT and any bank charges, unless the quotation says they are included.
A quotation is an invitation to order, not a binding offer. An order becomes binding when both of the following have happened:
Prices are based on material costs and exchange rates at the date of quotation. If those move materially before an order is confirmed, we may re-issue the quotation. Once an order is confirmed and the deposit received, the confirmed price stands for that order.
The specification is the one written on the confirmed PI, together with any sample you and we have signed off. Where a dispute arises, the signed sample or the PI specification governs, in that order.
Security cameras are manufactured goods, and normal industry tolerances apply:
We improve products continuously. We may change a component, supplier or cosmetic detail where this does not materially reduce performance, and we will tell you before shipping if the change affects a specification you have approved. Function and mounting compatibility of a given model are not changed without your written agreement.
Prices are quoted in USD unless the quotation states another currency. Our standard terms are:
| Mass production | 30% deposit on order confirmation, 70% before shipment |
|---|---|
| Sample and trial orders | 100% in advance |
| Repeat orders (after 3 completed orders) | Negotiable — ask for 30/70 or 20/80 |
| Alibaba Trade Assurance | Accepted, governed by Alibaba’s own rules |
Bank charges outside China are for your account. If a payment is delayed, the delivery date moves by at least the length of the delay, and we may suspend production or withhold shipping documents until the balance clears. We retain title until we have been paid in full (see section 06).
Lead times are counted from the later of: cleared deposit, approved artwork, and approved sample or specification. The figures below are indicative for standard configurations and are not guaranteed dates:
| Stock sample dispatch | 3–5 working days |
|---|---|
| Customised sample (logo or firmware) | 7–10 working days |
| Packaging artwork proof | 3–5 working days |
| Mass production, 100–500 pcs | 15–20 working days |
| Mass production, 500–2,000 pcs | 20–30 working days |
| Air freight, door to door | 3–7 days |
| Sea freight, LCL or FCL | 25–40 days depending on port |
Delivery terms follow Incoterms® 2020 as stated on the PI — usually EXW Shenzhen or FOB Shenzhen, sometimes CIF for an agreed port. Where no Incoterm is stated, FOB Shenzhen applies. Partial shipments are permitted and invoiced pro rata.
If a delay is caused by us and exceeds 30 days beyond the confirmed date, you may ask for a delivery schedule in writing; if we still cannot ship within a further 30 days you may cancel the undelivered balance and receive a refund of the amount paid for it. Delays in transit, at customs, or caused by events in section 11 do not count as our delay.
Risk of loss or damage passes as defined by the agreed Incoterm: at the moment the goods are handed to the carrier (FOB) or made available at our factory (EXW). From that point you or your forwarder are responsible for insurance and for any claim against the carrier.
Ownership of the goods passes to you only when we have received payment in full. Until then you hold the goods for us, must keep them identifiable, and must return or pay for them on demand if the sale is cancelled. This retention of title does not change the point at which risk passes.
For CIF shipments we insure at minimum ICC(C) cover for 110% of the invoice value. If you need broader cover, tell us before shipment and we will quote the additional premium.
Please inspect the goods on arrival. Written notice of short shipment, wrong items or visible damage must reach us within 7 days of delivery by air, or 15 days of delivery by sea. Include photos or video of the carton, the shipping mark and the affected units, plus the packing list number.
If the outer packaging was damaged on arrival, note it on the carrier’s delivery receipt before signing — otherwise the carrier will reject the claim, and we cannot recover the loss either.
Latent defects that could not have been found on reasonable inspection must be reported within 7 days of discovery, and in any case within the warranty period. Claims raised after these windows are treated as out of scope, though we will still try to help.
We warrant our products against defects in materials and workmanship for 12 months from the date of shipment, unless the PI or contract states a different period. Batteries, power adapters and accessories carry the same period unless stated otherwise.
What is covered: a unit that stops working correctly under normal use because of a manufacturing fault — dead on arrival, failure of the sensor, IR board, main board, power stage, or a firmware defect present in our released build.
What is not covered:
How a claim works. Write to us with the model, quantity, order number and a short video or log showing the fault. We diagnose remotely first, because most issues turn out to be configuration, power or network related and can be fixed in a day. If the fault is confirmed, we send a replacement board or unit from the next shipment, or issue a credit — your choice where practical.
Freight on warranty claims: you pay the cost of sending the faulty unit back to us and we pay the cost of sending the replacement out. For DOA units reported within 30 days we cover both directions.
DOA rate. We agree an acceptable dead-on-arrival rate in the contract, typically 1–2%. Units above that rate are replaced or credited in the next shipment. A repaired or replaced unit does not restart the warranty; it inherits the remainder of the original period.
Do not ship anything back without a written RMA number from us. Unauthorised returns are refused at our gate, and the return freight and disposal cost are for your account.
When you do return goods: use the original packaging or equivalent protection, declare the shipment as “defective goods for repair — no commercial value”, and put the RMA number on the outside of the carton and on the commercial invoice. Undervaluing a shipment below the requirement of your customs authority is your responsibility and can invalidate the import.
We repair or replace RMA units within 15 working days of arrival, except where a part is out of stock — in that case we tell you the expected date and, if it exceeds 45 days, offer a credit instead. For low-value units where freight exceeds the product value, we may issue a credit without requiring a return.
Your material. You confirm that any logo, artwork, packaging design, photograph, firmware or brand name you send us is yours or licensed to you, and that using it does not infringe anyone’s rights. You agree to cover us against third-party claims arising from the material you supply.
Tooling. Where you pay for a mould, the mould belongs to you once the tooling cost is settled. We keep it at our factory for your exclusive use, maintain it, and will not run it for anyone else. You may ask us to transfer it to another supplier after 12 months, at your cost and freight; until it is collected we store it as bailee and are responsible only for loss caused by our negligence.
Exclusivity. We will not produce your custom housing, your firmware build or your branded packaging for a third party without your written consent. We will sign an NDA whenever you need one.
What stays ours. Our base product design, generic firmware, app, PCB layouts, test fixtures and manufacturing know-how remain our property. You may not reverse-engineer, copy, redistribute or resell our firmware or app, or use them to build a competing product. Where we develop firmware specifically for you and you pay for that development, ownership of the resulting build is agreed separately in writing.
Brands. Model names, the AtBingo name and our product photography are ours. Third-party trademarks mentioned on this website (for example app names such as V380, ICSEE, XMEYE or Seetong) belong to their respective owners and are used only to describe compatibility.
Neither party is liable for a failure to perform caused by events beyond its reasonable control, including natural disasters, epidemic or quarantine measures, government action, new export or import restrictions, war, civil unrest, port or carrier strikes, severe freight-rate or container shortages, power rationing, or an upstream component shortage that could not reasonably have been avoided.
The affected party must notify the other within 10 days of becoming aware, and its obligations are suspended for the duration. If the event continues for more than 90 days, either party may cancel the unperformed part of the order; goods already produced and accepted are paid for at the agreed price, and the deposit for the cancelled balance is refunded.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising from an order — whether in contract, tort or otherwise — is limited to the amount you have actually paid us for that order. We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of data, downtime, or the cost of substitute goods or installation labour.
Any claim must be brought within 6 months of the date you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.
Market access is shared. We supply the product and the documentation we hold — test reports, declarations and technical files where available. You are responsible for confirming that the product may legally be sold and used in your market, and for any local registration, labelling, importer-of-record duties or radio approvals. If you need a specific certification (CE, UKCA, FCC, RCM, Anatel, SASO and similar), tell us before the order: cost and lead time are quoted separately and stated on the PI.
Products are not certified for life-safety, medical, fire-detection or critical infrastructure use, and must not be presented as such.
Lawful use. You agree not to use or resell our products for covert surveillance in breach of privacy or labour law, or in any application prohibited in the destination country. We may ask for an end-user statement and may decline an order where the intended use or destination raises a legal concern.
Export control. Our products contain encryption and radio modules. Both parties will comply with applicable export control and sanctions rules, including those of China and of the destination country. We will not ship to sanctioned parties, entities or destinations, and you confirm that you and your customers are not subject to such restrictions.
We may suspend production or withhold shipping documents if an invoice is overdue, if a payment is reversed, or if we reasonably believe the goods will not be paid for. We may terminate an order immediately if you become insolvent, enter administration, or fail to remedy a material breach within 15 days of written notice.
On termination, you pay for goods already produced, materials already committed on your instruction, and any non-cancellable tooling or components; we refund any excess you have paid. Clauses that by their nature should survive — IP, liability, governing law — survive termination.
These terms and any order are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
If a dispute arises, the parties will first try to resolve it by good-faith negotiation for 30 days from written notice. If that fails, the dispute is referred to the Shenzhen Court of International Arbitration (SCIA) and settled by arbitration under its rules in force at the time. The seat is Shenzhen, the language is English, and the tribunal is one arbitrator — or three where the amount in dispute exceeds USD 500,000. The award is final and binding on both parties.
Nothing in this clause prevents either party from applying to a competent court for interim relief, for example to protect intellectual property or to secure payment.
